If you do not agree to these terms, you must immediately discontinue use of the Services.
2. Medical Disclaimer (Not Medical Advice)
IMPORTANT: The Services provided by AMG Health AI Solutions, Inc. utilize artificial intelligence algorithms designed to support health information management and insights. The Services do not provide medical diagnosis, treatment, or clinical advice.
- No Doctor-Patient Relationship: Use of the Services does not establish a doctor-patient, therapist-patient, or other healthcare provider-patient relationship between you and the Company.
- Consult a Professional: Always seek the advice of a qualified physician or other licensed healthcare provider with any questions you may have regarding a medical condition or treatment.
- Emergency Situations: Never disregard professional medical advice or delay seeking it because of information generated by our AI tools. If you are experiencing a medical emergency, immediately call your local emergency services (e.g., 911) or go to the nearest emergency room.
3. Accuracy and Limitations of Artificial Intelligence
- Algorithmic Limitations: While we strive for precision, AI models operate on probabilistic methods and data inputs. Content generated by the Services may occasionally contain errors, omissions, or outdated information.
- User Inputs: Accuracy depends heavily on the data provided by the user or integrated healthcare system. The Company is not responsible for incorrect outputs resulting from incomplete or inaccurate inputs.
- Supplemental Tool: Our AI solutions are intended solely as informational tools or administrative support systems and should not be used as a sole basis for healthcare decisions.
4. Intellectual Property
All rights, title, and interest in and to the Services—including software, AI models, algorithms, interface designs, trade secrets, trademarks, and branding—are and will remain the exclusive property of the Company and its licensors.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly for internal, personal, or authorized clinical support purposes in accordance with these terms. You may not reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of our AI models.
5. Data Privacy, Security, and HIPAA Compliance
The Company is committed to protecting sensitive personal and health information.
- Protected Health Information (PHI): Where applicable, the Company complies with the Health Insurance Portability and Accountability Act (HIPAA) and applicable regional data protection laws (e.g., GDPR, CCPA).
- Business Associate Agreements (BAA): Covered entities utilizing our enterprise solution must execute a standard Business Associate Agreement with us prior to transmitting PHI through the Services.

6. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED, OR ABSOLUTELY ACCURATE.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, WRONGFUL DEATH, LOSS OF DATA, OR MEDICAL EXPENSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE AI SERVICES.
8. User Responsibilities & Prohibited Conduct
When using the Services, you agree not to:
Upload or input unlawful, defamatory, or malicious data.
Attempt to manipulate or "jailbreak" the AI models to generate prohibited content.
Use the Services to train competing artificial intelligence or machine learning models.
Misrepresent AI-generated insights as definitive medical diagnoses to third parties.
9. Governing Law and Jurisdiction
This Legal Notice shall be governed by and construed in accordance with the laws of the State of TEXAS, without regard to its conflict of law principles. Any legal action or proceeding arising under this notice shall be brought exclusively in the federal or state courts located in McAllen, Texas.
